Terms of Service

Please read these Terms of Service ("Terms") carefully before using Onyx's website and services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Platform Role

Onyx facilitates charter enquiries and may arrange or broker air transportation services on your behalf. Onyx is not necessarily the operator of any aircraft used to fulfill a charter request. Actual flight services are provided by independent, appropriately licensed aircraft operators.

2. No Guaranteed Availability

Any aircraft, pricing, routing, or scheduling options displayed on our platform or communicated to you are preliminary and subject to final confirmation by the operating carrier. Aircraft type, pricing, applicable taxes, deicing costs, routing, and other requirements may change at any time prior to execution of a final contract.

3. No Booking Upon Selection

Submitting a charter request, or selecting a presented option, does not constitute a completed booking or a binding agreement for travel. A booking is confirmed only once final contractual terms have been agreed and the required payment process has been completed.

4. Your Responsibilities

You agree to:

• Provide accurate and complete itinerary and passenger information
• Promptly notify Onyx of any material changes to your itinerary, passenger details, or travel requirements

Inaccurate or incomplete information may delay or affect our ability to arrange suitable transportation on your behalf.

5. Final Agreements

Operator-specific terms, cancellation policies, insurance information, and final commercial terms will be provided to you in the applicable charter agreement issued at the time of booking. These Terms govern your use of the Onyx platform generally; the charter agreement governs the specific flight arrangement.

7. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

9. Payment Terms and Refunds

Payment for confirmed charter arrangements is due in accordance with the terms set out in the applicable charter agreement issued by the operator. Deposit amounts, payment schedules, and accepted payment methods will be specified at the time of booking.

Cancellation and refund eligibility are governed by the operator's cancellation policy, which will be disclosed to you in the applicable charter agreement prior to payment. Onyx does not guarantee refunds independently of the terms set by the operating carrier.

10. Force Majeure

Neither Onyx nor any aircraft operator shall be liable for delays, cancellations, or failure to perform obligations under these Terms where such delay or failure results from circumstances beyond reasonable control, including but not limited to weather conditions, mechanical issues, air traffic control restrictions, government action, labor disputes, or other events commonly recognized as force majeure in the aviation industry.

11. Eligibility

By using the Service, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms, whether on your own behalf or on behalf of an organization you represent.

12. Prohibited Uses

You agree not to use the Service to:

• Submit false, misleading, or fraudulent information
• Attempt to interfere with or disrupt the security or proper functioning of the platform
• Use the Service for any unlawful purpose or in violation of applicable aviation, export control, or sanctions regulations

Onyx reserves the right to suspend or terminate access to the Service for any user found in violation of these provisions.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Canada.
